StartUp Local Terms & Conditions (Licence Agreement)
Before submitting an application to register a StartUp Local campaign, you must first agree to and accept the following licence:
This Licence Agreement is between StartUp Britain Limited (“SUB”) and the StartUp Local licensee (“you”).
1. Limited Licence:
1.1 When you accept the terms and conditions below, SUB will grant you a limited, non-exclusive, revocable licence (the "Licence") to access and use: the SUB, StartUp Local and ‘Inspired by StartUp Britain’ (“Inspired by SUB”) names, logos and trademarks; a portfolio of copyrighted materials (the “Materials”) including templates for reproduction, made available in the StartUp Local Kit; the specific StartUp Local campaign name (the "Campaign Name"); and a sub-domain webpage on the SUB website (the "Webpage") assigned to your StartUp Local campaign, (collectively, the "Intellectual Property") only in connection with one (1) approved StartUp Local campaign. SUB branding (including name, logos and trademarks) can only be used with prior permission from SUB.
1.2 SUB reserves the right to add to, modify, or delete any aspects of the Intellectual Property at any time at its sole discretion.
1.3 You shall not claim ownership of the Intellectual Property, by reason of its use or access to it.
1.4 Your use of the Intellectual Property must comply with the rules set forth here and you must abide by the General, Branding, Location, Website, National StartUp Britain events, Inspired by StartUp Britain activity, Sponsorship and Feedback rules, as modified from time to time by SUB at its sole discretion, which are incorporated in this Licence.
1.5 The term of this Licence will begin upon your acceptance of these terms by selecting the box beside the text "Please confirm you have read and agree to the StartUp Local Rules and Licence Agreement?" on the StartUp Local application page and will end upon the earlier of (i) SUB’s termination of your Licence and/or termination of access to your StartUp Local webpage at any time if you should breach any of the terms of this Licence or termination by SUB for any other reason, at SUB’s sole discretion; (ii) the conclusion of your one (1) StartUp Local campaign; or (iii) twelve (12) months from the date of commencement of the term of the Licence (the "Term"). If you wish to extend your Term for a further twelve (12) months, you may submit another application, which will be assessed and granted at SUB’s sole discretion.
1.6 A licenced StartUp Local activity which is not a national SUB activity and is independently organised by the Licensee is classed as an ‘Inspired by StartUp Britain’ activity; all promotion of your ‘Inspired by StartUp Britain’ activity must clearly identify the activity as such and may not directly or indirectly suggest that your event is a SUB activity.
1.7 You may not transfer, sublicense or assign the Licence and/or your rights to use the Intellectual Property.
1.8 SUB may require you to stop using the Intellectual Property in connection with your StartUp Local campaign and may terminate all access to your StartUp Local webpage at any time. If you do not use the SUB, StartUp Local and Inspired by SUB trademarks according to the quality control guidelines set forth in the General, Branding, Location, Website, National StartUp Britain events, Inspired by StartUp Britain activity, Sponsorship and Feedback rules, your Licence may be terminated.
1.9 SUB may modify, amend, supplement and/or replace the terms and conditions of this Licence in writing at any time.
2. Campaign Name:
2.1 The Campaign Name must comply with the rules set out in 'Location'. Once approved, all Campaign Names will be owned exclusively by SUB and are licenced to you according to these terms and conditions.
2.2 You will have the right to use your Campaign Name solely during the Term. After the Term, you will have no further rights to use the Campaign Name. However, if you apply for another StartUp Local Campaign Name prior to the end of your Term you may request to use the same Campaign Name for the term of your new licence.
2.3 SUB reserves the right to terminate your use of a particular Campaign Name at any time, in which case all your rights to use the Campaign Name will cease and SUB may use such Campaign Name at its sole discretion.
3. Waiver of Liability:
3.1 You are responsible for any resources that are required for your StartUp Local campaign outside of those made available by SUB in the licenced Intellectual Property. SUB will not be responsible or liable for providing you with any extra resources, personnel or materials.
3.2 YOU AGREE TO ASSUME FULL RESPONSIBILITY FOR ANY AND ALL LIABILITY IN CONNECTION WITH ANY STARTUP LOCAL CAMPAIGN OR ‘INSPIRED BY STARTUP BRITAIN’ ACTIVITY, AND TO INDEMNIFY, DEFEND AND HOLD HARMLESS SUB AND ITS FOUNDERS, SPONSORS, PARTNERS, EMPLOYEES, VOLUNTEERS AND OTHER LICENSEES (“COVERED PARTIES”) FROM AND AGAINST ANY LIABILITY.
3.3 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CIRCUMSTANCES ARE SUB OR ITS COVERED PARTIES LIABLE FOR ANY LOSS OF REVENUE, PROFIT, GOODWILL OR REPUTATION, OR FOR ANY DAMAGE TO ANY OF THESE, OR FOR ANY INJURY, CLAIM OR OTHER LIABILITY.
You agree that the terms of this Licence are the entire agreement between you and SUB and supersede all communications of any kind between you and SUB with respect to the Licence and any guidelines, rules or policies incorporated in this Licence.
By selecting the box beside the text "Please confirm you have read and agree to the StartUp Local Rules and Licence Agreement?" on the licence application form, you are indicating your acceptance of the terms and conditions of this Licence and your review and approval of the following StartUp Local policies:
